Commercial App Asset License 1.0

This is a license agreement ("License") between the individual or entity ("Licensee") acquiring the license and the copyright holder ("Licensor") of the content ("licensed content" or "original assets") that is specified as licensed under this License. By accessing, downloading, copying, installing or otherwise using this licensed content, Licensee agrees to be bound the provisions of this License.

Permissions and Conditions

Licensor grants to Licensee a non-exclusive, worldwide, perpetual license to use, modify, adapt, translate, prepare derivative works from, reproduce, distribute, display and perform the "Assets" (i.e., the licensed content, with or without Licensees' modifications), subject to the following conditions and exceptions:

1. Distributions of the Assets are only permitted when they're integrated in Licensee's products as incorporated and embedded components of electronic applications and digital media. Reproduction and display is also permitted in physical materials for such products (e.g., in advertising materials, manuals, merch, etc.) when the Assets are inside the product's context. Licensee may otherwise not reproduce, publicly display, publicly perform, transmit, sublicense, rent, lease, lend, trade, distribute or transfer any of the Assets in any way without permission from Licensor.

2. Without permission from Licensor, Licensee must not include the Assets in any media element used for building brand identity (i.e., meant to be associated exclusively with Licensee's brands or products), such as a logo, trademark, official profile picture, main icon of an application, website favicon or similar.

3. No use or modification of the Assets shall violate any applicable law or regulation; or infringe, violate or misappropriate a copyright, patent, trademark, trade secret, rights of privacy or publicity, intellectual property rights or moral rights of any third party.

4. The name of the Licensor, of this content's "Author(s)" (i.e., the individuals that created the original assets, if specified) or of their brands or products must not be used to endorse or promote products using the Assets without specific prior written permission from them.

5. If there is any mention or attribution to the Licensor or Author(s) in Licensee's product, it must not be done in a way or place that misleadingly implies a direct participation in the project, other than the mere licensing of assets, nor that incorrectly attributes asset modifications to them. For example, if giving attribution, a term like "licensed from" (referring to the original assets in an appropriate "credits" section or equivalent) can be used.

6. Licensee may extend this License to "Contractors" (i.e., third parties with access to the Assets when working on Licensee's projects, including any "work-made-for-hire" contractor or "freelancer"). In this case, they will be subject to the same terms as Licensee and have the additional condition that their use of the Assets is limited to work on the projects for which they're hired by Licensee; otherwise, each of the Contractors must have their own license to the Assets if they will use them outside of Licensee's projects.

All rights not expressly granted are reserved.

Termination

Without prejudice to any other rights, the rights granted under this License will terminate automatically if Licensee fails to comply with any of its terms. If Licensee receives a refund for any paid Assets, then this License shall terminate for such Assets. Licensees may also terminate their own license at any time. In the event of termination of this License for any reason, all rights granted to Licensees herein terminate, and they must immediately destroy all copies of the Assets contained in any type of media under their control. The sections below will survive any kind of termination.

Disclaimer of Warranties

THE ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN PARTICULAR, LICENSOR DOES NOT REPRESENT OR WARRANT TO LICENSEE THAT LICENSEE'S USE OF THE ASSETS WILL MEET LICENSEE'S REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR, NOR THAT ANY INFORMATION OBTAINED BY LICENSEE AS A RESULT OF THEIR USE OF THE ASSETS WILL BE ACCURATE OR RELIABLE, NOR THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO LICENSEE AS PART OF THE ASSETS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, WITH RESPECT TO ANY ASSETS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL LIABILITY TO LICENSEE FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY UNDER THESE TERMS, INCLUDING WITHOUT LIMITATION ANY LIABILITY FOR DIRECT OR INDIRECT DAMAGES, LOSSES, OR INJURIES WILL BE LIMITED TO NO MORE THAN THE TOTAL AMOUNT PAID TO LICENSOR BY LICENSEE IN THE PAST 30 DAYS FOR THE LICENSE TO THE ASSETS RELATING TO THE DISPUTE.

IN NO EVENT WILL LICENSOR BE LIABLE TO LICENSEE FOR ANY SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, BUSINESS, PROFITS OR OF ABILITY TO EXECUTE), WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, INDEMNITY, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

LICENSEE EXPRESSLY UNDERSTANDS AND AGREES THAT LICENSOR SHALL NOT BE LIABLE TO LICENSEE FOR ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY LICENSEE.

Indemnity

To the extent permitted by applicable law, Licensee hereby agrees to defend, indemnify, and hold harmless Licensor and Author(s) from all claims or demands made against them (and any related expenses) arising out of, or relating to Licensee's or to its Contractors' negligent or wrongful use or conduct regarding the Assets or other rights or assistance granted by Licensor under this License, including, but not limited to, any claims of product liability, damage to property, or violation of any rights, laws, or regulations.

Applicable Law and Conflicts

Licensee's relationship with Licensor under this License and any dispute arising out of or in connection with this License, including any disputes regarding the existence, validity, or termination thereof, shall be governed by the laws of a jurisdiction where the Licensor maintains its principal place of business, without reference to its conflict-of-law provisions. Notwithstanding this, Licensor shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

If any provision of this License is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, without affecting the rest of the License. The remaining provisions of this License will continue to be valid and enforceable.

If any included content explicitly specifies a different license, then in the event of a conflict with this License, that other license shall prevail with respect to that component only. Other than that, all included content is governed by this License.
